Terms of Use

These Terms of Use govern access to and use of the Triangle Digital website at triangle.digital and the Triangle platform (together, the "Services"). Please read them before using the Services. By using the Services you agree to these Terms.

1. Who we are

Triangle Digital Ltd. ("Triangle", "we", "us" or "our") is a company incorporated in Bermuda and licensed to conduct digital asset business by the Bermuda Monetary Authority under the Digital Asset Business Act 2018. Our registered office address is published on the Bermuda Monetary Authority register of licensed digital asset businesses.

2. Scope of these Terms

These Terms cover the public website and general access to the platform. Where you enter into a separate written agreement with Triangle for a service, such as issuance, custody, brokerage or advisory, that agreement governs the service and prevails over these Terms to the extent of any conflict.

3. Eligibility

The Services are intended for businesses, institutions and their representatives, and are not directed at consumers. By using the Services you confirm that you are at least 18 years old, that you are acting on behalf of an entity you are authorised to represent, and that you are not a person with whom Triangle is prohibited from dealing under applicable sanctions, anti-money-laundering or counter-terrorist-financing law.

4. Accounts and onboarding

Access to platform features requires an account. Every account is subject to Triangle's customer due diligence, which includes anti-money-laundering, know-your-client and anti-terrorist-financing checks, before it may hold, transfer or retire an asset. You agree to provide accurate information, to keep it current, and to tell us promptly if any of it changes. You are responsible for the security of your credentials and for activity conducted under your account. Triangle may refuse, suspend or close an account where required by law, by our regulator or by our own risk assessment.

5. Nature of the assets

Assets issued by Triangle are digital representations of verified environmental performance, issued under Triangle's licence and recorded on the Triangle Registry. Nothing on the Services is an offer to sell or a solicitation to buy any security, nor investment, tax, accounting or legal advice. The regulatory treatment of digital assets differs between jurisdictions and continues to develop. You are responsible for determining whether holding or transacting in an asset is lawful and appropriate for you, and for obtaining your own advice.

6. Risk

Digital assets carry risk. The value of an asset may fall as well as rise, markets may be illiquid, and an asset may become unsuitable for a particular compliance purpose if the underlying standard, methodology or regulation changes. Distributed ledger technology carries its own operational and security risks. You accept these risks when you use the Services.

7. Acceptable use

You may use the Services only for lawful purposes. You must not attempt to gain unauthorised access to any part of the Services or to another user's account; interfere with or disrupt the Services, including by automated scraping, denial-of-service or the introduction of malicious code; use the Services to launder money, finance terrorism, evade sanctions or commit fraud; misrepresent your identity or your authority to act; or reproduce, resell or make the Services available to a third party except as we have agreed in writing.

8. Data and market information

Information on the Services, including pricing, availability, project data and verification records, is provided for general information. We take care over its accuracy but do not warrant that it is complete, current or error-free, and it should not be relied on as the sole basis for a transaction. Data supplied by registries, verifiers, standards bodies and other third parties remains theirs.

9. Intellectual property

The Services, their content, design and software are owned by Triangle or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the Services for your own business purposes. All other rights are reserved. Triangle's name, logo and marks may not be used without our prior written consent.

10. Third-party links and services

The Services may link to or interoperate with third-party sites, registries, custodians and applications. We do not control them and are not responsible for their content, availability, security or practices. Your use of a third-party service is governed by that party's terms.

11. Availability and changes

We may change, suspend or withdraw any part of the Services, and we may update these Terms. Where a change materially affects your rights we will give reasonable notice through the Services or by email. Continued use after a change takes effect is acceptance of the updated Terms. The Services are provided on an "as available" basis and we do not guarantee uninterrupted access.

12. Disclaimers and liability

To the fullest extent permitted by law, the Services are provided without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Triangle is not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data or opportunity, however arising. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud or fraudulent misrepresentation.

13. Indemnity

You agree to indemnify Triangle and its officers, employees and agents against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law or the rights of a third party.

14. Privacy

Personal information is handled in accordance with the Privacy Policy, which forms part of these Terms. Cookies and similar technologies are described in the Cookie Policy.

15. Complaints

Complaints may be sent to the Triangle Compliance Department at compliance@triangle.digital, or through the Customer Complaint Notice page. Triangle is licensed and supervised by the Bermuda Monetary Authority.

16. Governing law and disputes

These Terms and any dispute arising out of them are governed by the laws of Bermuda, and the courts of Bermuda have exclusive jurisdiction, without prejudice to any mandatory right you may have to bring proceedings in the jurisdiction of your residence.

17. General

If any provision of these Terms is held unenforceable, the remainder continues in effect. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours to an affiliate or in connection with a reorganisation. These Terms, together with any separate written agreement and the policies referred to in them, are the entire agreement between us in relation to the Services.
